Progress Software Corporation, its affiliates, and subsidiaries (collectively, “Progress,” “we,” “us,” or “our”) present these Terms of Use which apply when you visit https://blazorrepl.telerik.com (the “Site”). By browsing the Site or using the products and services available on the Site (“Services”), you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Use and our accompanying Privacy Policy (available at: https://www.progress.com/legal/privacy-policy ) and to comply with applicable laws and regulations. If you do not accept these Terms of Use, then you are not granted permission to browse, access, or otherwise use the Site or the Services.

Capitalized terms not defined in these Terms of Use shall have the meaning set forth in our Privacy Policy.

Definitions

“Content” refers to content featured or displayed through the Website, including without limitation code, text, data, articles, images, photographs, graphics, audio visual works, software, applications, packages, designs, features, and other materials that are available on the Site or otherwise available through the Service.

“User-Generated Content” is Content, written or otherwise, created or uploaded by any individual person, company, or organization that has visited or is using the Site or Services, and includes Your Content (as defined in the “Use and Licensing” section below).

Use and Licensing

Subject to the terms and conditions set forth in these Terms of Use, Progress hereby grants you a limited, non-transferable, non-exclusive license (the “License”) to use the Services in our hosted environment to create, run and share code snippets, subject to and in accordance with these Terms of Use. You acknowledge that the Services contain confidential information and trade secrets of Progress. Progress retains ownership of all intellectual property rights of any kind related to the Site and Services. Progress retains all rights not expressly granted to you in these Terms of Use.

You grant us the right to store, archive, parse, and display any Content you submit to the Services including, without limitation, any code snippets that you create, run or share via the Service (“Your Content”) and to make copies, as necessary to provide the Services and to improve the Services over time. This license includes the right to copy Your Content to our database and to host it in the cloud; to make backups; to display it to you and to other users; to parse it into a search index or otherwise analyze it on our servers; to make it publicly available to other users.

You acknowledge and agree that once you click “Share” on the Site, Your Content will be posted publicly and you grant, free of charge, to any person using and/or obtaining a copy of Your Content, a license to deal in Your Content without restriction, including without limitation the rights to use, copy, modify, merge, publish, distribute, sublicense, and/or sell copies of Your Content, and to permit persons to whom Your Content is furnished to do so.

You are responsible for all of Your Content; you will only submit Your Content that you have the right to submit; and you will fully comply with any third-party licenses relating to Your Content.

About the Information on this Site

Content provided by Progress or its licensors on the Site (collectively, the “Progress Content”) may contain technical inaccuracies or typographical errors. You may not copy, reproduce, republish, upload, post, transmit, distribute, or use for the creation of derivative works any portions of the Site, Services or Progress Content without Progress's prior written consent. Progress may remove, change, or update the Site, Services or Progress Content without notice. Progress may also make improvements and/or changes to the Site, Services or Progress Content at any time without notice to you.

Progress assumes no responsibility regarding the accuracy of the Progress Content provided by Progress and/or any User-Generated Content and use of such Progress Content and/or User-Generated Content is at your own risk. Progress provides no assurances that any reported problems may be resolved with the use of any Progress Content.

Progress is not responsible for any misuse of User-Generated Content.

If you provide us any ideas, thoughts, criticisms, suggested improvements or other feedback related to the Site, Services or Progress Content (collectively “Feedback”), you grant Progress an unrestricted, irrevocable, perpetual, royalty-free, fully paid-up, assignable, and sublicensable right and license to use, reproduce, display, perform, modify, transmit, create derivative works of, distribute, and otherwise exploit such Feedback, and allow others to do the same without restriction or obligation of any kind to you or any other person or entity. This is true whether you provide the Feedback through submissions to https://feedback.telerik.com/repl or any other method of communication with us.

Community Guidelines

Our community, like any community, functions best when its users follow a few simple rules. By accessing the Site and/or using the Services, you hereby agree to comply with these community guidelines (the “Community Guidelines”) and that:

• You will not cover, obscure, block, or in any way interfere with any safety features (e.g., feedback button) on the Site;
• You will not take any action that imposes or may impose (in our sole discretion) an unreasonable or disproportionately large load on our technical infrastructure;
• You will not use automated means, including spiders, robots, crawlers, data mining tools, or the like to download or scrape data from the Site, except for Internet search engines (e.g., Google) and non-commercial public archives (e.g., archive.org) that comply with our robots.txt file;

• You will not remove any Progress trademarks or service marks

Please let us know about inappropriate User-Generated Content. If you find something that violates our Community Guidelines, please let us know via the feedback portal, and we’ll review it. We reserve the right, in our sole and absolute discretion, to deny anyone access to the Site, or any portion of the Services, without notice, and to remove any User-Generated Content that does not adhere to these guidelines.

Progress has no control over and assumes no responsibility for the content, privacy policies, or practices, products or services of any third-party web sites or services. Progress shall not be liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any content, products or services available on or through any such third-party web sites or services. If you visit these sites or use services available through these sites, you will be subject to their terms of use and privacy policies. You should check the applicable third-party terms of use and privacy policy when visiting any other site. In addition, a link to a non-Progress site does not mean that Progress endorses or accepts any responsibility for the content or the use of such site. You agree to defend, indemnify, and hold the Progress Parties harmless from and against any and all third-party claims, losses, liabilities, and expenses (including attorneys’ fees) arising from: (i) your use of and access to the Site, the Services, and/or Content ; (ii) your violation of any term of these Terms of Use and/or our Privacy Policy; and/or (iii) your violation of any third-party rights. This defense and indemnification obligation will survive termination, modification, or expiration of these Terms of Use.

Monitoring of Site

Although Progress has no obligation to do so, Progress explicitly reserves the right to view, monitor, and record activity on the Site without notice or permission from you. Any information obtained by monitoring, reviewing, or recording is subject to review by law enforcement organizations in connection with investigation or prosecution of possible illegal activity on the Site. Progress will also comply with all court orders as well as all law enforcement and regulatory inquiries involving requests for such information. Progress reserves the right, in its sole and absolute discretion for any reason or no reason, to remove or modify any Content, or any other element of the Site or the Services, without notice or permission from you, including the right to suspend or terminate the Site or the Services at any time, with or without cause, with or without notice, effective immediately.

Governing Law and Jurisdiction

These Terms of Use shall be construed, interpreted and performed exclusively according to the laws of the Commonwealth of Massachusetts, United States of America, without regard to the conflict of laws principles thereof. You expressly agree that any action at law or in equity arising out of or directly or indirectly relating to these Terms of Use or the Site shall be filed only in a state or federal court in Boston, Massachusetts, USA, and You hereby consent and submit to personal jurisdiction of such courts for the purposes of any action related to the Progress Site, your access or use thereof, or these Terms of Use, and to extra-territorial service of process.

Export Classifications

Notwithstanding anything to the contrary herein, You expressly agree not to use, deploy, export or re-export any (or any portion) of the Site, Services, Content, , or any Progress software obtained or accessed through the Site or Services in or to any country, person, entity or end user subject to U.S. export restrictions. You specifically agree not to export, re-export, or transfer any (or any portion) of the Site, Services, Content, , or any Progress software obtained or accessed through the Site or Services to any country to which the U.S. has embargoed or restricted the export of goods or services, including without limitation any country listed in U.S.A. Export Administration Regulation Country Group E-1, or to any national of any such country, wherever located, who intends to transmit or transport the products back to such country, or to any person or entity who has been prohibited from participating in U.S. export transactions by any federal agency of the U.S. government. You warrant and represent that neither the U.S.A. Bureau of Industry and Security, U.S. Department of Commerce, nor any other federal agency has suspended, revoked or denied your export privileges.

You are not permitted to use any trademarks appearing on the Site without the prior consent of Progress or the rights holder.
